Supplier Listing Terms

These terms cover listing your products in the xPlant Pro supply catalog. They are written to be read by the person who filled in the supplier form, not by a lawyer. If anything here is unclear, write to us before you apply.

1. Who these terms are between

These terms are between Shmaplex ("we", "us", "our"), which builds and operates xPlant Pro, and the company applying to list products ("you", "your"). They apply from the day we confirm your listing arrangement in writing.

Sending the supplier form is an application. It puts your details in front of us and starts a conversation. It does not create a listing on its own, and it does not oblige either of us to go further.

2. What a listing is

The xPlant Pro supply catalog is a set of reference pages for tissue culture supplies — basal media, plant growth regulators, gelling agents, vessels, tools and similar. Labs use those pages to work out what to reorder.

A listing means we show you as a place to buy a catalogued product. In practice that is a named vendor record and one or more purchase links on the relevant product pages. Each link can carry a price hint, where it ships from, and an availability note.

A listing is not a recommendation, an endorsement, a certification, or a statement that your product is suitable for any particular protocol. We do not test what you sell, and we do not tell a lab what to buy.

3. Applying and review

Every application is read by a person. We look at whether the products fit the catalog, whether the product information is specific enough to be useful to a lab, and whether we can link to a page where the product can actually be bought.

A listing goes live once we have approved the application and confirmed the arrangement with you. We may decline an application, and we do not have to give a reason.

We decide which products appear on which catalog pages, and in what order. Where a product page has several suppliers, ordering is ours to set.

4. Your product information

You are responsible for the accuracy of everything you send us about your own products: names, concentrations, package sizes, composition, prices, availability, shipping origin, and any handling or safety information.

You agree to tell us when something material changes — a product is discontinued, a formulation changes, a link stops working, or a price moves far enough that the figure we show is misleading.

We may edit what you send for length, house style, consistency with the rest of the catalog, or clarity. We will not change the substance of a product claim. If we think a claim cannot be supported, we will leave it out and tell you why rather than reword it.

Some of what we show is a hint rather than a live figure. A price we display may have been recorded when we last checked. The page you link to is the authority on price and availability, and we say so on the page.

5. How purchase links are shown

Every outbound purchase link in the catalog is tagged as sponsored in the page markup, whether or not money changes hands on it. That tagging is applied to all of them together, by the component that renders the panel, so it cannot be switched off for one supplier.

Links open in a new tab and pass no referrer information to you beyond the fact that the visit came from us.

Where a link is part of the Amazon Associates programme, the panel labels it as an Amazon affiliate link, visibly, next to the link itself.

6. Referral codes and commission

A listing can work in one of three ways, and the one that applies to you is recorded on your listing:

  • Direct — a plain link to your product page, with no referral code and no commission. This is a fully supported arrangement, not a lesser one. If you do not want a commercial relationship with us, choose this.
  • xPlant referral — a link carrying a referral code we agree with you, so that orders originating from the catalog can be identified.
  • Amazon Associates — a link through Amazon's affiliate programme, where Amazon's own terms govern tracking and payment.

Where a commission applies, the rate, the basis it is calculated on, and when it is paid are agreed with you in writing before your listing goes live. We do not operate a single published rate, because the products in this catalog differ too much for one to be meaningful.

Where the arrangement is direct, no commission is due to us and none will be invoiced.

Paying us a commission does not buy position, prominence, or a better description. It does not change clause 3.

7. Non-exclusivity

Listings are not exclusive, in either direction.

We may list competing suppliers for the same product, including on the same page as you, and we may add them at any time without telling you first. You are free to sell wherever you like, list with anyone else, and run your own referral arrangements elsewhere.

Nothing here gives either of us a territory, a category, or a right of first refusal.

8. Product feeds

If you send us more than a handful of products, we will usually set up a feed instead of entering them by hand. The format, how often we read it, and who to contact when it breaks are agreed with you when the feed is set up.

A feed we cannot read is a listing that goes stale. If a feed stops working we will try to reach the contact you gave us; if we cannot, we may switch the affected listings off until it is fixed, under clause 9.

9. Changing or removing a listing

Either of us can have a listing taken down. Ask us and we will switch it off, normally the same working day. It is a setting on the listing rather than a code change, so it does not wait for a release.

We may also switch a listing off on our own initiative — for example if the link breaks, the product is discontinued, the information has become inaccurate, the product no longer fits the catalog, or we are asked to by someone with a legitimate complaint about it.

A switched-off listing stops appearing on the public pages. The vendor record and its history stay in our database so that we keep an accurate account of what the catalog said and when.

10. Ending the arrangement

Either of us may end the listing arrangement at any time, for any reason, by writing to the other. No notice period applies and no fee is payable for ending it.

When the arrangement ends, we remove your listings from the public catalog. Commission already earned on orders placed before that point remains payable on the basis agreed; nothing further accrues afterwards.

Clauses 11 to 17 survive the end of the arrangement, to the extent they need to.

11. Your brand and product content

You keep every right you have in your brand, your trade marks, your product names, your product descriptions and your images. We are not asking you to give any of that up.

By applying, you grant us a non-exclusive, worldwide, royalty-free licence to use that material for one purpose only: showing and describing your products in the xPlant Pro catalog and in material that points to it. The licence lasts as long as your listing does, and ends when the listing is removed, except for copies kept in ordinary backups and in the historical record described in clause 9.

You confirm that you have the right to grant that licence for everything you send us, including any image you did not create yourself.

We will not sub-license your material to anyone else, and we will not use it to suggest that you endorse xPlant Pro.

12. What we do with the information you send

The supplier form collects your company name, your website, the name and email address of a contact, what you sell, the arrangement you are interested in, and anything you type into the message field.

We store it in our own database, and we email a copy to our own team so that a person reads the application and can reply to you. It goes nowhere else: we do not sell it, and we do not pass it to anyone else for their own marketing.

We keep an application while it is being reviewed and for as long as the resulting listing exists, so that we have a record of what was agreed. If we decline your application or you withdraw it, tell us and we will delete the record.

The form is not a newsletter signup. Sending it does not subscribe you to anything, and we will not add you to a marketing list because of it.

13. Our platform and our content

The catalog, the software behind it, and the editorial and reference material we write for it stay ours. A listing gives you no right in them beyond appearing on the pages where your products are listed.

You may say publicly that your products are listed in the xPlant Pro catalog, and link to the pages they appear on. Please do not describe yourself as a partner, a certified supplier, an approved supplier, or anything else that implies we have vetted or endorsed what you sell, because clause 2 says we have not.

14. What we do not promise

We do not promise any level of traffic, clicks, orders, revenue, or search visibility from a listing, and nothing we say about the catalog should be read as a forecast.

The catalog is provided as it is. We do not promise it will be available without interruption, that every page will be free of error, or that a link will always resolve. We will fix what we find and what you tell us about.

We are not a party to any sale between you and a lab. The contract for a purchase is between the two of you, and so is everything that follows from it: payment, delivery, import, returns, and any question about whether the product was fit for what the buyer wanted it for.

15. Limitation of liability

Neither of us is liable to the other for indirect or consequential loss arising out of the listing arrangement, or for loss of profit, revenue, business, goodwill or anticipated saving.

Our total liability to you arising out of the listing arrangement, taken together, is limited to the greater of the commission we received from you in the twelve months before the claim, or five hundred thousand Korean won.

Nothing in these terms limits a liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, and for fraud or fraudulent misrepresentation. If you are dealing with us as a consumer, your statutory rights are unaffected.

16. Indemnity

You will cover us against claims, losses and reasonable legal costs that we incur because information you gave us about your own products was wrong or misleading, because material you sent us infringed someone else's rights, or because a product you sold caused harm.

This does not apply to the extent that the claim arises from something we changed, from our own negligence, or from our own breach of these terms.

If we want to rely on this clause, we will tell you about the claim promptly, let you take part in its defence, and not settle it without asking you first.

17. We are not partners

These terms do not create a partnership, a joint venture, an agency, an employment relationship, or an exclusive dealing arrangement. Neither of us can enter into commitments on the other's behalf.

18. Changes to these terms

We may change these terms. The date at the top of this page tells you when they last changed.

If a change materially affects a listed supplier, we will email the contact address on the listing at least thirty days before it takes effect. If you do not accept the change, you may end the arrangement under clause 10 before it takes effect, and the old terms apply until then.

19. Governing law

xPlant Pro is built and operated from South Korea. These terms are governed by the laws of the Republic of Korea, and the competent courts of Seoul have jurisdiction over any dispute arising from them.

If you are in another country and mandatory law there gives you rights that this clause would otherwise take away, those rights still apply.

We would rather sort a problem out directly. Please write to us first, and we will do the same.
